What Do Company Setup Consultants in Dubai Actually Do?
Company setup consultants in Dubai do one thing a licence portal cannot. They decide with you which of the three jurisdictions your business belongs in before any form is filed. Most owners arrive having picked a free zone from an advertisement. Many would have bought a licence that stops them selling to the customers they came for.
The rest of the work is sequencing. A Dubai company passes through five authorities between the trade name and the first employee visa. Each one needs the previous one’s document, and each has its own deadline.
In this guide we take you through what a consultant does before the licence and what it does to obtain it.
What a Consultant Does Before the Licence
The licence is the easy part. The decisions made before it determine what the company can sell, to whom, and at what tax rate. They are expensive to reverse.
Choosing the Jurisdiction
Dubai offers three kinds of company. A mainland company, licensed by the Department of Economy and Tourism, trades anywhere in the UAE. A free zone company is faster to form but cannot sell directly to mainland customers without a distributor or branch. An offshore company holds assets and cannot trade in the UAE.
A consultant asks who your customers are before anything else. A staffing agency placing workers with Dubai employers belongs on the mainland. A software company billing clients in Europe belongs in a free zone. Since the 2021 Commercial Companies Law amendments allowed 100 percent foreign ownership on the mainland, ownership no longer decides it.
Matching the Activity and the Structure
Every licence names approved activities, and the company can only do what they allow. A consultant maps what you plan to sell against the activity lists. An activity one word off means a rejected invoice, a blocked bank transfer or a second licence. Food, healthcare, education and finance also need a sector regulator’s approval first.
The structure follows the activity. A limited liability company suits most trading and service businesses. A sole establishment suits one professional, and a branch suits a foreign company that wants presence without a new entity. The choice changes the documents, the fees and the liability, so it is made once.
Preparing and Attesting the Documents
Individual shareholders need a passport, a photograph and an Emirates ID if they hold one. Corporate shareholders need their certificate of incorporation, memorandum and a board resolution, each attested by the home notary, the foreign ministry and the UAE embassy. Attestation adds weeks, so a consultant starts it before the name is reserved.
A mainland memorandum of association is drafted in Arabic and notarized at Dubai Courts. A free zone memorandum is generated by the portal and signed online. A consultant drafts it so the shareholding, management and profit split match what you intend, not the template.
What a Consultant Does to Obtain the Licence
Once the decisions are made, the filing runs in a fixed order. A consultant knows the order and holds the relationships at each counter. That is the difference between three weeks and three months.
The Mainland Sequence
- Reserve the trade name with DET, which takes one or two days.
- Obtain initial approval, DET’s no-objection to the activity and structure, in two or three days.
- Notarize the memorandum at Dubai Courts.
- Lease an office and register the tenancy with Ejari, which takes two to five days.
- Submit the file with any sector approvals, pay the fees, and receive the electronic licence.
A straightforward mainland LLC takes three to four weeks from name to licence. DET’s instant licence issues some commercial licences in minutes, with a virtual office allowed for the first year. Visas and a bank account still follow the standard timeline. Any company setup consultants in Dubai worth engaging will say which route your activity qualifies for.
The Free Zone Sequence
A free zone compresses the same steps into its portal. You choose a package bundling the licence, a desk or office and a visa quota, submit documents online, and sign the memorandum electronically. The licence often issues within a week. The trade-off is the quota, because each package fixes how many visas the company can sponsor.
A consultant compares zones on three points. Does the zone license your exact activity? How many visas will you need in year two? Do its location and banking relationships suit your kind of business? A logistics operator and a design studio do not belong in the same zone, however similar the packages look.
The Establishment Card and the First Visas
The licence lets the company exist. The establishment card, from MOHRE or from the zone, lets it sponsor people. A consultant applies for the card the day the licence issues, then files the investor and first employee visas. Each visa runs through an entry permit, a medical test, an Emirates ID and stamping over two to three weeks.
Mainland visa capacity is set by office size, at roughly nine square metres per visa. A consultant sizes the lease to the headcount you will have in 12 months. Moving offices later means re-registering with Ejari and amending the licence.
| Stage | Authority | What the consultant does | Typical time |
| Jurisdiction and activity | DET or zone authority | Matches customers and activity to the right licence | Before filing |
| Name and initial approval | DET or zone | Reserves the name and secures the no-objection | 1 to 3 days |
| Memorandum and office | Dubai Courts, Ejari or zone portal | Drafts, notarizes and registers | 2 to 7 days |
| Licence | DET or zone | Files, pays and collects | Days to weeks |
| Establishment card and visas | MOHRE, GDRFA, zone | Applies and tracks each stage | 2 to 3 weeks per visa |
| Tax and register filings | FTA, DET or zone | Registers and diarizes | Within 90 days |
What a Consultant Does in the 90 Days After
The licence starts three clocks. A consultant who stops at the licence leaves you to find them yourself. The first penalty usually arrives before you do.
Registering With the Federal Tax Authority
Every company registers for corporate tax within three months of incorporation, whether or not it expects to owe anything. The rate is 9 percent above AED 375,000, as set out by the Ministry of Finance. A business with revenue of AED 3 million or less can elect Small Business Relief until the end of 2029. A consultant files the registration on EmaraTax before the deadline.
VAT registration is separate and becomes mandatory once taxable supplies pass AED 375,000 over 12 months. A consultant tracks revenue against that line from the first invoice. Late registration carries a penalty, and the VAT collected meanwhile is still owed.
Completing the Registers and the Payroll System
Three filings follow the licence. The company registers its beneficial owners under Cabinet Decision No. 109 of 2023. The company then enrols in the Wage Protection System before the first salary, since wages have been due through WPS by the first of the month since June 2026. Health insurance for every employee comes before the visa is stamped.
A consultant completes all three in the first month, then hands you a calendar. Four dates sit on it. Those are licence renewal, visa renewals, the corporate tax return nine months after year-end, and the VAT return by the 28th after each quarter.
Opening the Bank Account
The bank account is the slowest step and the one no consultant can guarantee. Banks run their own checks on the shareholders, the activity and the expected transactions, and most want the signatory in the branch. Some activities and some nationalities take longer, and no consultant changes that.
What a consultant changes is whether the file is complete on the first visit. The file holds the licence, the memorandum, the establishment card, a business plan and six to 12 months of the shareholder’s statements. A complete file is the difference between an account in four weeks and an application that lapses.
Decide Where Your Customers Are Before You Ask for a Quote
Before you speak to any consultant, answer one question. Will you sell to customers inside the UAE, or outside it? The answer places you on the mainland or in a free zone, and every fee and timeline that follows depends on it.
Then ask the consultant to show you the sequence for your activity, with the authorities named and the 90-day filings included. If the proposal stops at the licence, you are being sold a document. The company setup consultants in Dubai worth hiring sell a company that can trade, sponsor staff and file its first tax registration on time.
